Introduction
These Terms of Service ("Terms") govern your access to and use of the RenderJuice software-as-a-service application ("Service") provided by zerotilt inc. ("zerotilt", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, please do not access or use the Service and we reserve rights to terminate or suspend accounts that violate our terms of service.
Subject to your compliance with these Terms, zerotilt grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes. This license is granted solely for the purpose of enabling you to use and enjoy the benefits of the Service as provided by zerotilt, in the manner permitted by these Terms.
a. Access or use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service.
b. Attempt to gain unauthorized access to the Service, other accounts, or any computer systems or networks connected to the Service, through hacking, password mining, or any other means.
c. Copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer, decompile, or attempt to extract the source code of the Service, except as expressly permitted by law or with written consent from zerotilt.
d. Use the Service to store or transmit any content that infringes upon any third party's intellectual property rights, or that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, or otherwise objectionable.
e. Use the Service for any illegal, fraudulent, or unauthorized purposes, or to engage in any activities that violate any applicable laws or regulations.
f. Use any robot, spider, scraper, or other automated means to access the Service for any purpose without zerotilt's express written permission.
Some features of the Service may require payment of fees. By signing up for a subscription plan or purchasing any paid features, you agree to pay the applicable fees and any related taxes. All fees are non-refundable unless explicitly agreed upon. zerotilt reserves the right to modify its pricing and payment terms at any time, with prior notice to you.
Each paid account for the Service is intended for use by a single individual only. You agree not to share your account credentials or allow access to your account by more than one person. Any attempt to share a single paid account amongst multiple users may result in the suspension or termination of your account, without any refund or credit for any unused portion of your subscription.
All intellectual property rights in and to the Service, including but not limited to copyrights, trademarks, and trade secrets, are owned by zerotilt or its licensors. Except for the limited license granted in these Terms, zerotilt reserves all rights, title, and interest in and to the Service. You acknowledge and agree that any suggestions, ideas, or feedback you provide regarding the Service will be the sole and exclusive property of zerotilt, and you hereby assign all rights, title, and interest in such feedback to zerotilt.
The Service may contain links to or integrations with third-party websites, services, or resources. zerotilt does not endorse and is not responsible for the availability, content, products, services, or practices of any third-party websites or services. You acknowledge and agree that zerotilt will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such third-party websites or services.
You may terminate your account and stop using the Service at any time. zerotilt may, in its sole discretion, terminate or suspend your access to the Service without notice for any reason, including but not limited to a breach of these Terms. Upon termination, all rights and licenses granted to you in these Terms will immediately cease, and you must discontinue all use of the Service. Any sections of these Terms that, by their nature, should survive termination will continue in effect following such termination, including but not limited to intellectual property, disclaimers, indemnification, and limitations of liability.
The Service is provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. zerotilt makes no warranties that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components, and does not warrant that any defects in the Service will be corrected.
In no event will zerotilt or its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with these Terms or your use of the Service, whether in an action in contract, tort, or otherwise, even if zerotilt has been advised of the possibility of such damages. zerotilt's total liability for any claim arising out of or in connection with these Terms or your use of the Service, regardless of the cause of action, will not exceed the amount paid by you for the Service in the twelve (12) months preceding the date of the claim.
You agree to indemnify, defend, and hold harmless zerotilt and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.
These Terms will be governed by and construed in accordance with the laws of the jurisdiction in which zerotilt is incorporated, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in that jurisdiction, and you agree to submit to the personal and exclusive jurisdiction of such courts.
zerotilt reserves the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by posting the updated Terms on our website or through other appropriate communication channels. Your continued use of the Service after such notification constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically to stay informed about any changes.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. No waiver of any term or condition of these Terms will be deemed a further or continuing waiver of such term or condition or any other term or condition. zerotilt's failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision.
